General Terms of Service

1. Applicability

Formly’s intuitive form builder, accessible via www.formly.so (hereinafter referred to as "Tool"), is owned and operated by Masas Technologies, LLC, a company registered in Delaware, USA. Throughout these General Terms of Service, Masas Technologies, LLC, will be referred to as "we," "us," "our," or "Formly."

These General Terms of Service set out the terms under which Formly offers its Tool. By signing up for our Tool, the User (hereinafter referred to as "you" or "User") agrees to be bound by these General Terms of Service as well as any applicable Special Terms of Service.

If you do not agree to any provision of these General Terms of Service or applicable Special Terms of Service, you are not authorized to use or access the Tool.


2. Definitions

In these General Terms of Service, all capitalized terms shall have the meaning ascribed to them in the relevant Article or Clause or in the attached Annex.


3. Description and Use of the Tool

The Tool is a web-based form builder, enabling Users to create and share intuitive forms with a wide range of features and integrations.

You can explore our Tool without formalities. However, publishing forms or accessing certain features requires creating an Account.

The Tool is available for free use; however, premium features are only accessible via a paid subscription (hereinafter referred to as the "Pro Plan").


4. User Responsibilities

When using the Tool, you agree to:

  1. Comply with all applicable laws and regulations, including those concerning data protection.
  2. Refrain from uploading or transmitting:
    • Content that infringes on third-party rights.
    • Harmful, unlawful, or offensive material.
    • Malware, viruses, or similar harmful components.
  3. Use a stable internet connection and ensure necessary equipment for accessing the Tool.
  4. Maintain secure access to your Account and promptly report unauthorized use.

You are responsible for all data you input into the Tool. Formly is not liable for damages resulting from misuse or non-compliance.


5. License & Limitations

We grant you a personal, revocable, non-exclusive, non-transferable license to use the Tool, subject to these Terms of Service.

6. Subscription and Payment Terms

  1. Pro Plan subscriptions are billed monthly or annually, as per your selection. Pricing details are available at www.formly.so/pricing.
  2. Payments must be made via a valid credit card. Users are responsible for keeping payment details up-to-date.
  3. Failure to make timely payments may result in account suspension or termination.
  4. We reserve the right to adjust subscription fees with at least 30 days' prior notice.

7. Intellectual Property

All intellectual property rights related to the Tool, including code, designs, and branding, remain the exclusive property of Formly.

By providing suggestions or feedback, you grant us a perpetual, royalty-free license to use, modify, and distribute your contributions.


8. Privacy and Data Protection

We process Personal Data in accordance with our Privacy Policy. By using the Tool, you agree to this policy.


9. Support and Updates

  1. We provide support via email at contact@formly.so.
  2. The Tool may undergo maintenance or updates. Planned downtimes will be communicated in advance where feasible.
  3. Updates are provided to enhance functionality or address issues.

10. Limitations of Liability

To the fullest extent permitted by law:

  1. Formly is not liable for indirect or consequential damages, including lost profits or data.
  2. Our liability shall not exceed the total subscription fees paid by you in the three months preceding the event causing the claim.
  3. The Tool is provided "as is," without warranties of any kind.

11. Termination

Users may terminate their subscription at any time via their Account dashboard. Pro Plan cancellations will remain effective until the end of the billing cycle.

Formly may terminate or suspend access without notice for serious breaches of these Terms of Service.


12. Governing Law

These Terms are governed by the laws of the United States. Disputes shall be resolved exclusively in the courts of Delaware, USA.
